Client / you: the natural or legal person who orders SeasonHost Web Starter and/or optional hosting.
Setup Service: the one-time website setup described in §2 (SKU: SeasonHost Web Starter).
Hosting Subscription: the optional monthly hosting and light maintenance described in §6.
Business day (BD): Monday–Friday, excluding Croatian public holidays, Europe/Zagreb.
Complete brief: the client materials listed in §3, received in usable form.
These Terms apply to the Setup Service and, if purchased, the Hosting Subscription. They are a contract for services, not a digital content / download pack. SeasonHost OPS / Hiring pack terms do not apply.
2. Setup Service — scope
2.1 Included
- One (1) landing page based on the SeasonHost template
- Menu as PDF embed/download or simple HTML
- Contact links: telephone, WhatsApp, Google Maps (and a basic contact form where provided by the template)
- One (1) language
- One (1) revision round as defined in §4
- Domain handoff: technical transfer or written DNS instructions so you control DNS (procedure in the order / SOW checklist)
2.2 Explicitly out of scope
- Reservation systems, online ordering, full CMS, XPOS / POS / cash-register integrations
- Extra languages, extra pages/sections, custom design from scratch, SEO campaigns, menu copywriting
- Integrations (e.g. Wolt, Glovo, booking, payment gateways) unless agreed in writing with a separate price
- Legal, tax, accounting, or hospitality regulatory advice
- Warranty that your content (allergens, prices, shade/licensing, cookie notices, GDPR banners) is compliant — you remain responsible for content and mandatory notices
2.3 Optional Hosting Subscription
Sold separately (at checkout or later). May be cancelled independently of the Setup Service. See §6.
3. Client brief — when the clock starts
The Setup Service timeline in §5 does not start on payment alone. It starts when we have a complete brief, including typically:
- Business name, address, and OIB/MBS if shown on the site
- Logo and photos (you warrant you have rights to use them)
- Texts in the one agreed language; menu (PDF or editable files)
- WhatsApp number, Google Maps URL, email and/or phone
- Domain preference (existing transfer vs new registration — who registers and who owns)
If the brief is incomplete for more than 10 business days after payment (or after our first request for missing items), we may pause the timeline. If, after a further written notice, materials are still incomplete for another 10 business days, we may cancel the Setup Service and refund the setup fee minus a proportional amount for work already performed and reasonable administration; any pause of the timeline continues until a complete brief is received if we do not cancel.
4. Revisions
- One revision round means one package of client comments on one delivered draft (email or checklist), sent within 5 business days of draft delivery.
- In scope: typos; colours within the template; replacing text/images you supplied; minor layout tweaks within the existing layout.
- Out of scope (change request / new order + fee): new language; new section/page; different template; e-commerce; reservations; redesign; content not supplied in time for the first round if it requires major rework.
- If you do not send comments within 5 business days, or after the round is closed, handoff / go-live is deemed accepted.
5. Setup timelines (SLA)
From the date of a complete brief:
| Phase | Target |
|---|---|
| Kick-off | within 3 business days |
| First draft | 5–10 business days |
| Revision after your comments | 3–5 business days |
| Handoff / go-live | within 2 business days after the revision round is closed |
Delays caused by you or by third parties (registrar, DNS propagation, app stores, Maps/WhatsApp) are not an SLA breach. Standard force majeure applies. Marketing must not promise a fixed calendar date without the words “from a complete brief”.
6. Hosting Subscription — annex
Applies only if you purchase hosting.
6.1 Included
- Hosting of the delivered template site + SSL renewal
- Light maintenance: up to 30 minutes per calendar month or up to 2 small tickets per calendar month, whichever is used first. “Small” means: text/image changes within existing blocks; replacing the PDF menu; updating a link (tel / WhatsApp / Maps).
- Backups: weekly full site snapshot; retention 28 days (about 4 versions)
- Uptime: reasonable efforts, target about 99.5% monthly; no service credits or paid SLA in v1
- Emergency down-fix (site not loading): response within 1 business day (Mon–Fri, Europe/Zagreb)
6.2 Not included in light maintenance (change request / extra fee)
- New language, new section/page, redesign, SEO, copywriting
- Reservations, CMS, integrations
- More than 30 minutes or more than 2 tickets in a month
- Migration to another host outside a normal cancellation export
- Custom development
6.3 Billing, cancel, non-payment, export
- Hosting is billed monthly in advance.
- Cancellation: effective at the end of the current billing month.
- After cancellation / end of subscription: within 14 days we provide a ZIP of the site (HTML/CSS/assets + PDF) and DNS handoff instructions; then we delete the site from IvyPay hosting. The domain stays with whoever is the registrar account owner.
- Non-payment: notice immediately; suspension after 7 days (Y=7) from due date; deletion after 30 days (Z=30) from due date.
7. Right of withdrawal (consumers / B2C)
7.1 Setup Service (consumers)
If you are a consumer, you have 14 days from conclusion of the Setup Service contract to withdraw, subject to EU / Croatian consumer rules for services.
We must not start work during the withdrawal period unless you have:
- expressly requested that performance begin during the 14-day period, and
- acknowledged that you lose the right of withdrawal once the service has been fully performed.
Required B2C checkout checkbox (English):
I request that work on SeasonHost Web Starter begin during the 14-day withdrawal period and I acknowledge that I will lose the right of withdrawal once the service has been fully performed.
If you withdraw after work has started under (1)+(2), you pay a proportionate amount for services performed until withdrawal. If the service is fully performed (handoff / go-live) with (1)+(2) completed, there is no remaining right of withdrawal.
Do not use SeasonHost OPS “digital content made available / download” consent language for this SKU.
7.2 Traders / B2B
If you order as a trader / company, the 14-day consumer withdrawal does not apply in the same way. After kick-off, there is no 14-day withdrawal; refunds only if IvyPay cannot perform due to its own fault (minus work already done).
7.3 Hosting Subscription
For a consumer’s first hosting subscription, 14-day withdrawal may apply if the subscription has not yet fully begun under applicable rules; after hosting is activated, charges follow these Terms (proportionate / period rules). Cancelling future periods is always allowed under §6.3 and is separate from the 14-day withdrawal.
8. Prices, VAT, payment
- Fees payable are those stated in your accepted quote and/or order confirmation (and at checkout when Web Starter checkout is available).
- Setup is paid in advance (Stripe) when ordered. Hosting, if ordered, is billed monthly in advance.
- VAT (including any reverse charge for traders) is as shown on the quote, checkout, and invoice under applicable rules.
- Until priced Web Starter checkout is opened, soft upsell paths must not display fixed euro amounts; the amount charged is only the amount confirmed in the accepted quote / order / checkout.
9. Intellectual property
- You retain IP in content you supply (logo, photos, texts, menu).
- IvyPay retains IP in the SeasonHost template, code, and design system. You receive a non-exclusive licence to use the configured instance for your hospitality venue.
- Resale of the template / white-label to third parties is forbidden without written agreement.
- Domain ownership follows the registrar account; handoff aims for you to control DNS.
10. Liability
To the fullest extent permitted by law:
- We exclude liability for indirect or consequential loss, lost profit, fines by third parties (inspections, third-party GDPR claims), and downtime of third-party services (Maps, WhatsApp, registrars).
- Cap for Setup Service: fees paid for that setup.
- Cap for Hosting Subscription: hosting fees paid in the last 12 months.
- Liability that cannot be limited by law (e.g. intent, gross negligence, personal injury where mandatory) remains.
- You warrant you have rights to supplied content and that content is not unlawful; you will indemnify IvyPay against claims arising from your content.
11. Privacy and cookies
We process personal data needed to perform the contract (contact details, site content). See the SeasonHost / IvyPay privacy notice on seasonhost.com.
Cookie banners and analytics on your live site are your responsibility. We may optionally install a basic banner without warranting “GDPR compliance”.
12. Governing law and disputes
These Terms are governed by the laws of the Republic of Croatia. Courts in Zagreb have jurisdiction, without prejudice to mandatory consumer venue rights.
13. Changes
We may update these Terms for future orders; the version accepted at checkout applies to that order. Material changes to an active Hosting Subscription will be notified in advance where required.
